1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and SW Global ("we", "us", "our"), governing your access to and use of the SW Global platform available at global.sharewealthindia.com and its associated mobile applications and services.

By registering, accessing, or using SW Global, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the platform.

2. About SW Global

SW Global is the brand name for international investing services offered via NSEIX Global Access, operated through NSE International Exchange (IFSC) Limited ("NSEIX"), a recognised stock exchange in GIFT International Financial Services Centre (IFSC), Gandhinagar, Gujarat, regulated by the International Financial Services Centres Authority ("IFSCA").

3. Eligibility

To use SW Global, you must:

• Be a resident Indian individual aged 18 years or above
• Hold a valid PAN card
• Have a valid bank account with a scheduled commercial bank in India
• Be eligible to make remittances under the RBI Liberalised Remittance Scheme (LRS)
• Not be a Politically Exposed Person (PEP) or otherwise restricted from using financial services
• Not be a US Person as defined under FATCA

Non-resident Indians (NRIs), PIOs, foreign nationals, and institutional investors are not eligible for this service unless separately notified.

4. Account Registration & KYC

You must complete our account registration process, including full Know Your Customer (KYC) verification as required under PMLA, 2002 and applicable regulations. You agree to:

• Provide accurate, current, and complete information
• Update your information promptly if it changes
• Maintain the confidentiality of your login credentials
• Notify us immediately of any unauthorised access to your account

We reserve the right to suspend or terminate accounts where KYC information is found to be false, misleading, or incomplete.

5. Services Offered

SW Global enables eligible Indian residents to:

• Invest in US-listed stocks, ETFs, and other permitted securities via NSEIX Global Access
• Remit funds under RBI LRS up to the prevailing annual limit (currently USD 250,000 per financial year)
• View live and delayed market data, portfolio valuations, and research content
• Access fractional shares where available

All securities transactions are executed on NSEIX, subject to its rules, regulations, and trading hours.

6. LRS Remittance & Regulatory Compliance

• All international fund transfers are made under the RBI Liberalised Remittance Scheme. The annual limit is USD 250,000 per individual per financial year (April–March), across all LRS purposes.
• Tax Collected at Source (TCS) at the applicable rate (currently 20% for LRS amounts above ₹7 lakh in a financial year, subject to change by Finance Acts) will be collected at the time of remittance and deposited with the Income Tax Department. TCS is reclaimable as a credit against your income tax liability when filing your return.
• You are responsible for reporting foreign assets and income in your Income Tax Return (ITR) under the Foreign Assets schedule and complying with the Black Money (Undisclosed Foreign Income and Assets) and Imposition of Tax Act, 2015.
• US dividends are subject to 25% withholding tax under the India-USA Double Taxation Avoidance Agreement (DTAA). You may claim a Foreign Tax Credit in India.

7. Risks & Disclaimers

Investing in foreign securities involves risks including but not limited to:

• Market risk: The value of securities can rise or fall
• Currency risk: INR/USD exchange rate movements affect your returns
• Regulatory risk: Changes in Indian or US regulations may affect your ability to trade or repatriate funds
• Liquidity risk: Some securities may not be easily sold at desired prices
• Counterparty risk: Risk of default by brokers, custodians, or exchanges
• Geopolitical risk: International events may impact market values

Past performance of any security, index, or financial product is not indicative of future results. Content on this platform is for informational purposes only and does not constitute investment advice, a solicitation, or an offer to buy or sell any security.

8. Fees & Charges

Our fee schedule, including platform fees, forex conversion charges, NSEIX transaction charges, and any applicable taxes, is published separately on our platform and updated from time to time. By placing an order, you agree to the applicable fee schedule at the time of the transaction.

9. Order Execution

Orders are executed subject to market conditions, available liquidity, NSEIX trading hours, and applicable regulations. We do not guarantee execution of any order at a specified price. All orders are subject to NSEIX's order matching rules. We are not liable for losses arising from order non-execution, partial fills, or market impact.

10. Prohibited Uses

You must not use SW Global to:

• Violate any applicable law, regulation, or RBI/IFSCA guideline
• Engage in money laundering, insider trading, front-running, or market manipulation
• Circumvent LRS limits through multiple remittances or related-party transfers
• Attempt to gain unauthorised access to our systems
• Reverse-engineer, decompile, or scrape any part of the platform
• Use the platform on behalf of a third party without proper authorisation

11. Intellectual Property

All content on the SW Global platform, including the brand name, logo, website design, data, software, and research content, is owned by or licensed to SW Global. You may not reproduce, distribute, or create derivative works without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by applicable law, SW Global shall not be liable for:

• Any investment losses, trading losses, or loss of profits
• Indirect, incidental, special, or consequential damages
• Losses arising from system outages, data errors, or third-party failures
• Tax liabilities arising from your investment activities

13. Indemnification

You agree to indemnify, defend, and hold harmless SW Global, its directors, officers, employees, and agents from any claim, liability, loss, damage, or expense (including legal fees) arising from your use of the platform, violation of these Terms, or breach of any applicable law.

14. Termination

We may suspend or terminate your account with or without notice if you breach these Terms, fail KYC/AML checks, or if required by a regulatory authority. Upon termination, your pending orders will be cancelled and your funds repatriated to your registered bank account within applicable timelines.

15. Grievance Redressal

If you have a complaint or dispute, please contact our support team at support@swglobal.in. You may also approach the IFSCA Ombudsman for IFSCA-related disputes.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the use of SW Global shall be subject to the exclusive jurisdiction of the courts at GIFT City, Gandhinagar, Gujarat, India, without prejudice to your right to approach relevant regulatory authorities.

17. Amendments

We reserve the right to amend these Terms at any time. Material changes will be communicated by email or a notice on our platform at least 14 days before they take effect. Your continued use of the platform after such notice constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements executed at account opening, constitute the entire agreement between you and SW Global regarding the use of the platform.
